Formation of the contract
Requests for information, meetings, initial assessments or website forms do not, by themselves, constitute acceptance of an order. A contract is formed under the terms expressly stated in the proposal, written confirmation, accepted order or executed contract.
The service-specific conditions — including the problem, intervention, deliverables, limitations, assumptions, dependencies, responsibilities, timetable, acceptance criteria and change management — prevail over these general conditions.
Engagement models
Cyberprotech provides services through models tailored to the continuity, objective and urgency of each requirement. The applicable model, included and excluded scope, price, invoicing, duration and performance conditions are always set out in the proposal, accepted order or contract.
Ongoing services or retainers
Provide recurring support according to an agreed frequency and capacity. They may include CISOaaS, PCPaaS, support, compliance monitoring and managed services. The proposal defines availability, usage limits, reporting, invoicing, duration, renewal, review and termination.
Projects
Are intended to achieve a specified outcome, with a defined scope, phases, deliverables, responsibilities, dependencies, timetable and acceptance criteria. Requirements outside the agreed scope may require assessment, replanning and an additional proposal before work begins.
Ad hoc services
Cover one-off interventions, delivered on site or remotely, subject to acceptance and availability. They may be invoiced by the hour, block of hours, travel, intervention or an agreed price, including any applicable conditions for urgency, working hours and expenses.
Third-party licenses and services
Licenses, subscriptions, platforms, hosting, equipment and other third-party products or services may form part of a Cyberprotech proposal. They also remain subject to the conditions, licensing, availability and policies of the relevant manufacturer or provider.
Prices, taxes and payment
Prices, applicable taxes, currency, invoicing schedule, payment term and payment methods are stated in the proposal or commercial document. Unless expressly stated otherwise, amounts presented in a business context must not be interpreted as a binding public offer.
Performance and customer cooperation
Timeframes and outcomes depend on the timely provision of the agreed access, assets, information, decisions and cooperation. Changes in scope, delays attributable to external dependencies and unforeseen requirements are subject to recording, impact assessment, approval and, where necessary, an additional proposal before performance.
Digital services and content
Licenses, subscriptions, platforms, support, updates, usage limits, ownership of deliverables, confidentiality, data protection and processors are defined in the specific conditions. Third-party products and platforms also remain subject to the terms, licensing, availability and policies of their respective providers.
Cancellation and termination
The conditions governing cancellation, renewal, suspension and termination are set out in the proposal or contract. A material breach may lead to suspension or termination following the applicable legal and contractual procedures.
Consumers and right of withdrawal
The offering presented on this website is intended predominantly for organizations. Where a proposal is expressly addressed to a consumer and the contract is concluded at a distance or away from business premises, the mandatory rights established by Portuguese law apply, including pre-contractual information, confirmation on a durable medium and the right of withdrawal where applicable.
If the consumer requests that performance begin during the withdrawal period, the requirements and consequences provided by law may apply. Nothing in these terms restricts mandatory consumer rights.
Complaints and disputes
The Portuguese Electronic Complaints Book is available as required by law. Where a consumer relationship exists, the customer may refer the matter to the competent alternative dispute-resolution entity or to an entity by which Cyberprotech is bound, without prejudice to recourse to the courts.
